Terms and Licence Agreement

Last updated 8 October 2026

These terms are an agreement between you, the store owner, and Vendnue ("Vendnue", "we", "us"). They cover the Vendnue Store Licence, the Vendnue Complete monthly plan and your use of the store and Admin we provide. By buying a licence, you agree to these terms.

1. What the licence covers

  • One licence covers one store on one domain.
  • We set up your store using the details you give us in your brand form, including your brand, payment gateways, emails and tracking.
  • You can use your store and its Admin for as long as your Vendnue Complete plan is active.
  • The licence is for your own business. You can't resell, sublicense or share it, or use it to run stores for other brands. Each additional store needs its own licence.

2. Fees

  • Vendnue Store Licence: a one-time fee of $0.50, paid at checkout.
  • Vendnue Complete: a subscription of $279 per month. The first 30 days are free, counted from the date of your licence payment. Your first monthly payment is taken 30 days after that payment, and then once a month after that.
  • Prices are shown in US dollars and don't include any taxes that may apply where you are.
  • Payments are processed by Stripe. Receipts are sent by email, and invoices are available in the billing portal.

3. Cancelling

You can cancel Vendnue Complete at any time from the billing portal. Your plan stays active until the end of the current billing period and then ends. If you cancel during your first 30 days, you won't be charged the monthly fee.

When your plan ends, your store goes offline. Before that happens, you can ask us for an export of your store content and customer data.

4. Refunds

The licence fee covers setting up your store, so once setup has started it isn't refundable. If setup hasn't started yet, contact us through support@vendnue.com and we'll review your request. Monthly payments aren't refunded for partial billing periods.

5. If a payment fails

If a monthly payment fails, we'll let you know by email and try the payment again. If it still hasn't gone through after a reasonable period, we may pause your store and Admin until the payment is made. If the plan stays unpaid, we may end it under section 12.

6. Your responsibilities

You're responsible for your business and everything you sell through your store, including:

  • your products, prices, descriptions, delivery and returns, and the promises you make to your customers;
  • your payment gateway accounts, their keys, and any fees they charge you;
  • your ad accounts, your ad spend and how you use your tracking data;
  • your domain, which you buy and renew yourself;
  • the content you add, including text, images, videos and reviews, and having the rights to use it;
  • following the laws that apply to your business, such as consumer, tax, privacy, email marketing and product safety laws, and having your own store policies in place;
  • keeping your Admin sign-in details safe and only giving access to people you trust.

7. Acceptable use

You agree not to use your store to:

  • sell anything illegal, counterfeit or dangerous, or anything your payment gateways don't allow;
  • mislead or defraud customers;
  • send spam or email people who haven't agreed to hear from you;
  • upload malware, or try to break, overload or get around the security of the platform;
  • infringe anyone else's rights, including copyright and trademarks.

If a store breaks these rules, we may pause it while we look into it, and we'll tell you why.

8. What we do

  • Set up your store as described on our website, using the information in your brand form.
  • Host your store and keep the platform secure and up to date.
  • Add new platform features as they're released.
  • Provide support by live chat and email.
  • Take reasonable care of the data stored in your store.

9. Ownership

You own your brand, your content and your customer data. We only use them to run and support your store.

We own the Vendnue platform, including the software, the Admin, the designs and templates, and the Vendnue name. Your licence lets you use them for your store while your plan is active. It doesn't transfer ownership of any part of the platform to you.

10. Availability and changes

We work to keep your store available at all times, but we can't promise it will never be interrupted, for example during maintenance or because of problems with services outside our control. We improve the platform regularly and may change or replace features. If we remove something important to how your store works, we'll give you reasonable notice.

Some features rely on third-party services, such as payment gateways, ad platforms, delivery tracking and Google services. We're not responsible for those services, and changes they make may affect the features that use them.

11. Liability

Nothing in these terms limits liability that can't be limited by law. Otherwise:

  • we're not liable for indirect or consequential losses, such as lost profits, lost sales or lost data;
  • we're not liable for problems caused by third-party services, your content or your use of the store;
  • our total liability to you in any 12-month period is limited to the amount you paid us in that period.

12. Ending the agreement

You can end this agreement by cancelling your Vendnue Complete plan. We may end it, or pause your store, if you seriously or repeatedly break these terms, if a payment stays unpaid, or if we're required to by law. Where reasonable, we'll warn you first and give you a chance to fix the problem.

13. Changes to these terms

We may update these terms from time to time. If a change affects you in a meaningful way, we'll tell you by email at least 30 days before it takes effect. If you continue using Vendnue after that, the updated terms apply.
